South Eastern Coalfields Ltd (SECL), a subsidiary of state-owned Coal India Ltd, has filed a draft prospectus with the Securities and Exchange Board of India (SEBI) to launch an initial public offering (IPO). The proposed listing is part of Coal India’s broader plan to take some of its subsidiaries public and expand their access to capital markets.
According to the draft prospectus, the offering will be entirely an offer for sale (OFS), meaning Coal India will sell existing shares in SECL rather than the subsidiary issuing new shares. The parent company plans to offload as many as 668.1 million shares through the proposed IPO.
The offering could raise up to $800 million, according to people familiar with the matter. However, the final issue size, pricing and other details will depend on the terms disclosed during the IPO process.
Coal India to Sell Up to 668.1 Million SECL Shares
The proposed IPO will allow Coal India to reduce part of its stake in South Eastern Coalfields while enabling public investors to acquire shares in one of the country’s major coal-producing companies.
Since the issue is structured entirely as an offer for sale, SECL will not receive proceeds from the share sale. Instead, the funds raised through the offering will go to Coal India as the selling shareholder.
This distinction is important for investors because an OFS does not directly provide fresh capital to the company whose shares are being listed. The transaction primarily creates an opportunity for existing shareholders to monetise part of their holdings and broadens public ownership.
The draft prospectus has been submitted to SEBI, marking a formal step towards the proposed public issue. The company will need to proceed through the regulatory process before the IPO can move towards its launch.
Four Investment Banks Appointed to Manage the IPO
Coal India has appointed four financial institutions as book-running lead managers for the proposed offering. These are SBI Capital Markets Ltd, ICICI Securities Ltd, IDBI Capital Markets & Securities Ltd and Motilal Oswal Investment Advisors Ltd.
The book-running lead managers will oversee key aspects of the IPO process, including coordination of the issue, investor marketing and price discovery.
The proposed offering is expected to attract attention because of SECL’s position within India’s coal industry and the potential size of the share sale. However, the final valuation and investor response will depend on the issue’s pricing, financial disclosures and broader market conditions.
SECL Operates 60 Coal Mines Across Chhattisgarh and Madhya Pradesh
South Eastern Coalfields is among the largest subsidiaries of Coal India and operates a network of 60 coal mines across central India.
According to the company’s website, its mining operations include 35 mines in Chhattisgarh and 25 in Madhya Pradesh. This operational footprint makes SECL an important part of Coal India’s production network and India’s domestic coal supply system.
Coal remains a major source of fuel for the country’s power generation and industrial sectors. As a large coal producer, SECL’s operations are connected to the availability of domestic fuel for electricity generation and other industrial requirements.
The company’s scale and geographical presence are likely to be among the factors investors examine when evaluating the proposed listing. Its production capacity, operational costs, mining conditions and financial performance will also be important considerations.
SECL Reports Rs 33,000 Crore Revenue in FY26
The draft prospectus showed that South Eastern Coalfields reported revenue of approximately Rs 33,000 crore for the financial year ended March 31, 2026. Its net income for the same period stood at Rs 4,755 crore.
These financial figures provide an indication of the company’s business scale ahead of its proposed public listing. Investors will likely assess revenue performance alongside profitability, operating expenses and the company’s ability to maintain production across its mining portfolio.
However, a company’s financial performance alone does not determine whether an IPO is attractively valued. Investors will also need to examine the issue price, shareholding structure, business risks and future operating outlook once the relevant details become available.
Coal India’s Subsidiary Listing Strategy Gains Momentum
The proposed SECL IPO forms part of Coal India’s wider effort to bring some of its subsidiaries to the public market. Another subsidiary, Mahanadi Coalfields Ltd, filed draft IPO documents with the regulator in September.
Listing subsidiaries can provide Coal India with an opportunity to unlock value from its businesses while allowing investors to gain direct exposure to individual coal-producing companies.
Separate listings may also give investors greater visibility into the financial and operational performance of individual subsidiaries. At the same time, the parent company can retain a significant ownership interest while selling a portion of its holdings to public shareholders.
The proposed SECL offering therefore represents another step in Coal India’s plan to expand the presence of its subsidiaries in the capital market.
SECL IPO Adds to India’s Busy Public Issue Pipeline
The proposed listing comes amid continued activity in India’s equity capital markets, where companies are seeking to raise funds or provide existing shareholders with opportunities to sell stakes.
India’s growing domestic investor base has supported demand for public offerings, encouraging companies across different sectors to consider Stock Market listings. A large transaction involving a major coal subsidiary could add further activity to the IPO pipeline.
For investors, the SECL offering will provide an opportunity to assess a major mining business separately from its parent company. However, the proposed IPO remains subject to regulatory review and the final issue terms.
With the draft prospectus now filed, attention will turn to SEBI’s review, the final offer structure and the valuation at which Coal India plans to sell its shares. The proposed sale could become an important development in the state-owned company’s broader strategy to list its subsidiaries and unlock shareholder value.
